ESOPs Galore: Indian Startup Employees Made Over $196 Mn Through Buybacks In 2022

As the startup ecosystem grows in the country, one of the trends that has picked up over the last few years is startups offering employee stock ownership plans (ESOPs) to employees to reward them. ESOP buyback by Indian startups saw a sharp increase in 2022 following the funding boom of 2021. 

ESOPs are a way of rewarding the employees and also have them invested in the success of the startups. ESOPs act as an additional income source for employees. 

As the Indian startups grew and raised new rounds of funding, the year 2022 saw many of them rewarding their employees through ESOP buybacks. Swiggy, Razorpay, PineLabs and RebelFoods are among the major startups which opted for ESOP buybacks in 2022. 

Let’s take a look at some of the major startups who bought back shares in 2022.

ESOP Buybacks By Indian Startups In 2022

Razorpay

In January 2022, fintech unicorn Razorpay announced an ESOP liquidation program worth $75 Mn, with participation from Lightspeed Venture Partners and Moore Strategic Ventures. Lightspeed and Moore would subsequently join the company’s cap table after buying ESOPs from 650 participants.

In a press statement, the fintech unicorn said it was its largest ESOP buyback program, with around 650 current and former employees participating.

Razorpay’s last ESOP buyback took place in 2021, with Sequoia Capital and Singapore’s GIC buying stock options worth $10 Mn.

Prior to that, Razorpay raised $375 Mn in a Series F round in December 2021, increasing its valuation to $7.5 Bn from $3 Bn in April 2021. 

Pine Labs

IPO-bound fintech startup Pine Labs announced INR 100 Cr ESOP  ($13.1 Mn) buyback in March 2022. However, the unicorn did not disclose any further details of the ESOP buyback programme. In continuation to that, the fintech startup announced a $50 Mn funding round led by private equity company Vitruvian Partners at valuation of over $5 Bn. The funding round also comprised a $15 Mn ESOP buyback.

Earlier in 2020, Pine Labs allocated ESOPs worth $14 Mn to its CTO, CFO and others.

The startup was on a fundraising spree in 2022. In January, it raised $20 Mn in a funding round from SBI, while it received $150 Mn from Alpha Wave Ventures in February.

Rebel Foods 

Foodtech unicorn Rebel Foods in March announced completion of a $10 Mn ESOP buyback plan for 150 current and former employees.

According to its RoC filings accessed by Inc42, Rebel Foods’ former and current employees participated in the ESOP buyback.

In 2020, Rebel Foods became a unicorn after raising $175 Mn in its Series F funding round. The round was led by Qatar Investment Authority (QIA) in participation with Coatue and Evolvence. The round helped Rebel’s valuation soar to $1.4 Bn.

The foodtech unicorn has earmarked $150 Mn for strategic investments, brand acquisitions and to expand its footprints to foreign countries.

CoinSwitch Kuber

Crypto unicorn CoinSwitch completed a $2.5 Mn ESOP buyback plan in March 2022. However, it did not give further details about the ESOP buyback plan.

While the startup did not disclose the number of employees who would benefit from the buyback, a CoinSwitch spokesperson told Inc42 that the number was expected to be small as most of the hiring activities took place over the last year and the ESOPs given to them were yet to vest.

In October 2021, CoinSwitch sealed its Series C funding round, raising $260 Mn at a valuation of $1.9 Bn. The funding round was led by Coinbase Ventures and Andreessen Horowitz (a16z).

The crypto startup counts Tiger Global, Ribbit Capital, Coinbase Ventures, Sequoia Capital and Paradigm as its investors.

Jupiter 

Mumbai and Bengaluru-based neobank startup Jupiter initiated ESOP buyback for several of its employees across the company. The stock options, obtained from both present and past employees, amounted to $4 Mn in liquidity transactions. According to a statement, 21 former and present employees benefited from the transactions. 

Prior to this, the startup bagged $87 Mn in Series C funding round led by Tiger Global, while QED Investors, Sequoia India and Matrix Partners also participated in the round.

Cars24

Used car marketplace Cars24 announced annual ESOP buyback worth INR 75 Cr  in February to reward its employees. In a statement, the startup said that it has consistently led annual ESOP buyback initiatives for the last four years for its existing as well as former employees.

The value of the total ESOPs buyback by the company stood at INR 113 Cr, it added.

Earlier in December 2021, the auto ecommerce platform bagged $400 Mn in its Series G funding round led by Alpha Wave Global. It joined the unicorn club in 2020 after raising $200 Mn in the funding round. So far, it has raised $1.3 Bn in funding. 

LEAD 

Edtech startup LEAD initiated ESOP buyback worth $3 Mn for its employees in February 2022. The ESOP buyback followed its Series E funding round worth $100 Mn led by WestBridge Capital and GSV Ventures. 

The startup was valued at $1.1 Bn in the funding round, thus entering the unicorn club.

The startup said that the ESOP buyback would help it retain talent. The edtech startup claims that nearly 20% of its employees own ESOPs.

slice

Fintech unicorn slice announced its first ESOP buyback worth $8.6 Mn in February this year. The startup said that nearly 60 former and existing employees holding vested stocks in the startup were eligible for the buyback. It said that around INR 1.2 Cr was paid out to eligible and existing employees in the buyback round..

Late 2021, the fintech startup joined the unicorn club after raising $220 Mn in its Series B funding round led by Tiger Global and Insight Partners. The round also saw participation from other investors such as Advent International’s Sunley House Capital, Moore Strategic Ventures, Anfa, Gunopsy, among others. Its existing investors – Blume Ventures and 8i – also participated in the round. 

Bizongo 

Supply chain startup Bizongo concluded its ESOP monetisation program in February 2022. As part of the buyback program, nearly $3.7 Mn worth of ESOPs were liquidated

The startup said that of the total 102 current and former employees eligible for the scheme, 70% opted for the buyback. Bizongo had kept the total ESOP pool at $4.8 Mn. The ESOPs were offered to employees depending on different stages of their tenure.

FarEye

SaaS startup FarEye reportedly announced an ESOP buyback program worth $1.22 Mn in late January 2022. It was the second buyback programme by the startup. 

Founded in 2013 by Nahata, Gaurav Srivastava and Gautam Kumar, FarEye is a Software-as-a-Service (SaaS)  mobility platform. The company aims to solve the complicated last-mile delivery issues through its automation softwares that allows companies to schedule and dispatch jobs, monitor execution and analyse performance in real time, making enterprises more effective and streamlined. 

Earlier in January 2021, it had initiated an ESOP buyback programme worth $739K.

In 2021, the startup garnered $100 Mn in its Series E funding round led by Dragoneer Investment Group and TCV. A portion of the capital infusion was used to expand its software platform capabilities and attract talent.

Trell

Social commerce startup Trell concluded ESOP buyback worth $1.6 Mn in January 2022. 

Founded in 2017 by Pulkit Agrawal, Prashant Sachan, Arun Lodhi, and Bimal Kartheek Rebba, Trell is a community-based platform that features video-based content in various Indian languages.

Earlier in August 2020, it raised $11.4 Mn in a Series A funding round led by KTB Network.

The startup has raised an aggregate of more than $62 Mn in venture capital from investors including Mirae Asset Ventures, H&M Group, Samsung Ventures, LB Investments and others. 

Porter

Intra-city logistics startup Porter initiated an ESOP buyback programme worth $5 Mn in January 2022. A statement from the startup said that the ESOP programme was designed for 80% senior and mid management and 20% for lower management employees.

Founded in 2014 by Pranav Goel, Uttam Digga and Vikas Choudhary, Porter is a logistics platform that optimises last-mile delivery operations for businesses.

In 2021, the startup raised nearly $100 Mn in a Series E funding round. It has raised more than $131 Mn in funding to date. 

NoBroker 

Proptech unicorn NoBroker completed its ESOP buyback worth INR 32.2 Cr ($4.2 Mn) in March 2022. As part of the buyback program, 95 former and current employees of the startup were given the opportunity to liquidate their stock options, which constituted 57% of the total employees who had ESOPs.

In 2021, the proptech startup turned into a unicorn after raising $210 Mn in a Series E funding round from General Atlantic, Tiger Global and Moore Strategic Ventures. The round took the total funding raised by the startup to $424 Mn.

HomeLane 

HomeLane announced an INR 27 Cr ESOP buyback program in January 2022, its second such program. 

The startup said many of its employees invested their gains in homes, cars, retirement funds and also donated to the causes they believe in. 

In 2020, the startup raised $50 Mn in a Series E funding round led by IIFL AMC’s late-stage tech fund, OIJIF II (Oman India Joint Investment Fund) and existing investor Stride Ventures. 

Founded in 2014 by Rama Harinath, Srikanth Iyer, and Vivek Parasuram, HomeLane offers personalised and tech-enabled interior design solutions for customers looking to design/redesign the interior of their homes. It claims to have served over 20,000 customers. 

Ninjacart 

Agritech startup Ninjacart concluded ESOP buyback worth more than INR 100 Cr in January 2022. Both current and former employees of the startup with vested ESOPs as of December last year were eligible to participate in the programme. 

Founded by Thirukumaran Nagarajan, Sharath Loganathan, Sachin Jose, Kartheeswaran KK and Vasudevan Chinnathambi in 2015, Ninjacart sources fruits, vegetables and other groceries from farmers and suppliers to sell them to supermarkets, kirana stores and other retailers.

Late 2021, the startup garnered $145 Mn from Walmart-backed Flipkart, valuing it between $700 Mn and $800 Mn. The startup is also expanding its footprint into the FMCG segment, procuring from big brands and selling to store owners and other resellers. 

Fleetx.io 

SaaS startup Fleetx.io completed ESOP buyback worth $507K as a part of its Series B funding round. The round was led by IndiaMART.

According to the startup, the ESOP buyback programme was rolled out to 45 eligible current and ex-employees as part of the closure of its Series B funding round.

Founded in 2017 by Vineet Sharma, Abhay Jeet Gupta, Udbhav Rai, Parveen Kataria and Vishal Misra, Fleetx offers IoT and software-based solutions to logistics companies that safeguard vehicles and also augment operations.

Awign

Gig workers’ startup Awign initiated an INR 4 Cr ESOP buyback programme for existing and former employees in November 2022. 

Prior to that, the startup raised $15 Mn in Series B fundraising round led by Bertelsmann India Investments and Amicus Capital Partners.

Set up in 2016 by IIT graduates Annanya Sarthak, Gurpreet Singh and Praveen Kumar Sah, the startup helps organisations hire gig workers for intricate operations including auditing, assessments, proctoring, last-mile delivery, and business development, among others. 

Axio Biosolutions

Medtech startup Axio Biosolutions introduced a $0.5 Mn ESOP buyback plan for its existing and former employees in February 2022. The ESOP liquidity program covered around 40% of the startup’s team including scientists, sales professionals and housekeeping staff. 

Set up in 2007, the startup builds medical products using biomaterial technology for hemostatic and advanced wound care markets across the globe. It claims to hold various patents in wound healing, mucoadhesive drug delivery and hemostat segments across the globe.

In 2021, it secured $6 Mn funding from TrueScale Capital, Omidyar Network India, University of California – Ratan Tata Fund and Accel.

Biz2Credit

Lendingtech startup Biz2Credit rolled out an $12.25 Mn ESOP liquidity scheme for over 500 employees operating in India. 

Set up in 2007 by siblings Rohit and Ramit Arora, the startup provides credit to online small and medium-sized companies (SMEs). Besides that, it offers credit to consumers and working capital as well as other funding options to startups. 

It secured $387 Mn funding to date from investors including Nexus Venture Partners and WestBridge Capital, among others, according to Crunchbase data. 

CityMall

Social commerce startup CityMall initiated a $1.3 Mn ESOP liquidity program in September 2022 for about 50 employees, inclusive of core team members and senior management. 

Prior to that, the startup gave pink slips to nearly 191 employees working in various departments including customer support, sales team, marketing and human resources, among others. 

Set up in 2019 by Angad Kikla and Naisheel Verdhan, the social commerce startup deals in multiple categories including grocery, FMCG, electronics and fashion, among others. It offers services to customers residing in Tier III and IV cities and towns of Haryana, UP and Delhi NCR regions. 

ITILITE

SaaS-based travel startup ITILITE announced the completion of its ESOP plan for existing and former employees in May 2022. It offered eligible employees to liquidate 100% of their stock options. 

Prior to that, the SaaS startup secured $29 Mn in Series C funding round in April 2022. Its cap table includes Tiger Global, Dharana Capital, Matrix Partners India and Tenacity Ventures.

Set up in 2017 by Mayank Kukreja and Anish Khadiya, the startup offers travel and expense management services to business organisations. It counts Automation Anywhere, Praj HiPurity, Page Industries, BYJU’S , Swiggy, and Zetwerk as its customers. 

Niyo 

Neobanking startup Niyo announced an ESOP buyback programme for its employees in September 2022. Employees with good performance and working with the startup for over two years were eligible to vest their stock options under the buyback plan. 

So far, Niyo has raised $180 Mn from a slew of investors including Multiples Alternate Asset Management, Accel, Lightrock India, Beams Fintech Fund, Prime Venture Partners, and JS Capital, among others. 

Founded in 2015 by Virender Bisht and Vinay Bagri, the fintech startup offers online saving accounts, credit cards and other allied banking services to customers.

Swiggy 

Foodtech unicorn Swiggy announced a $23 Mn ESOP buyback plan for around 900 employees in June 2022. 

In the fiscal year 2022, the foodtech giant reported a net loss of INR 3,628.9 Cr as against INR 1,616.9 Cr recorded in FY21. Its revenue soared 2.2X to INR 6,119.8 Cr in FY22 as compared to INR 2,675.9 Cr in the corresponding period last year. 

Besides that, in last year, it acquired DineOut for $200 Mn to enter the restaurant discovery and table reservation segment. It also launched ‘Minis’, a discovery platform for sellers  to display their products catalogues in the app.
