Reliance Retail Ventures Limited (RRVL), a subsidiary of Reliance Industries Ltd (RIL), has acquired equity shares of online furniture startup Urban Ladder Home Decor Solutions Pvt Ltd for INR 182.12 Cr.  

Reliance Retail has bought 96% holding in the equity share capital of Urban Ladder and has a further option of acquiring the balance stake, taking its shareholding to 100%, the company informed the stock exchange on Saturday night.

Urban Ladder’s audited turnover was INR 434 Cr, INR 151.22 Cr and INR 50.61 Cr and loss of INR 49.41 Cr, INR 118.66 Cr and INR 457.97 Cr in FY 2018 and FY 2017 respectively, according to the stock exchange filing.

Reliance Retail proposes to make a further investment of up to INR 75 Cr, which is expected to be completed by December 2023.

Urban Ladder’s buyout is likely to trigger consolidation among online furniture retailers and create a few large dominant brands, as smaller retailers get squeezed between the might of the e-commerce behemoths and the unorganised sector, which operates outside the tax system.

The eight-year-old startup operates a digital platform for home furniture and decor products. It also has a chain of retail stores in several cities across India. The online furniture retailer was valued at around INR 1,200 Cr in 2018, which dropped to around INR 750 Cr in 2019.

“The aforesaid investment will further enable the group`s digital and new commerce initiatives and widen the bouquet of consumer products provided by the group, while enhancing user engagement and experience across its retail offerings.” Reliance Retail said. 

Founded by Ashish Goel and Rajiv Srivatsa in 2012, Urban Ladder raised more than INR 700 Cr from top venture capital funds such as Sequoia Capital, SAIF Partners, Kalaari Capital and hedge fund Steadview Capital. But after its Series E round two years ago, it struggled to raise capital. Last November, it raised INR 15 Cr, though some of its existing investors did not participate in the round.

Reliance Retail’s Capital Move

Earlier this month, Reliance Retail raised INR 9,555 Cr ($1.3 Bn approximately) from Saudi Arabia’s Public Investment Fund (PIF), to accelerate the growth of its digital retail empire. 

This investment — a record eighth by marquee global investors — values Reliance Retail at a pre-money equity value of INR 4.587 lakh Cr (around $62.4 Bn). 

In October, Reliance Retail had raised nearly INR 7,349K Cr (nearly $1 Bn) from Global investors GIC and TGP.

GIC had invested INR 5,512.5 Cr into Reliance Retail for 1.22% stake at a pre-money equity value of INR 4.285 Lakh Cr. Meanwhile, TPG had invested INR 1,837.5 Cr for 0.41% stake at the same valuation.  

In October, Reliance Retail had raised funding from General Atlantic, Silver Lake co-investors and Mubadala. Silver Lake co-investors invested INR 1,875 Cr increasing its stake to 2.13% in the company. The private equity firm had flagged off Reliance Retails’ funding spree with INR 7,500 Cr for a 1.75% back in September.

Abu Dhabi’s sovereign fund Mubadala Investment Company had invested INR 6,247 Cr for 1.4% stake. Meanwhile, General Atlantic has committed to invest INR 3,675 Cr in Reliance Retail in exchange for 0.84% equity stake on a fully diluted basis. The company has been valued at a pre-money equity value of INR 4.285 Lakh Cr for all these deals.
