Nazara’s NODWIN Buys Trinity Gaming For INR 24 Cr

Nazara Technologies’ subsidiary NODWIN Gaming International, has acquired a gaming agency and platform Trinity Gaming for INR 24 Cr ($2.8 Mn).

The 100% acquisition will be executed through a combination of secondary sales and a stock swap deal, Nazara said in a statement.

NODWIN will pay INR 4.8 Cr in cash, with the remaining INR 19.2 Cr settled through an equity share swap.

With this acquisition, NODWIN aims to boost its ability to deliver immersive and comprehensive youth entertainment experiences.

On the back of this, Trinity’s founders will continue to lead the business and will also become shareholders in NODWIN.

Founded in 2019 by Abhishek Aggarwal and Shivam Rao, Trinity Gaming offers services such as creator support for Meta and a gaming multi-channel network (MCN) for YouTube.

It also manages a roster of over 1,000 content creators across India and has partnered with global brands like Samsung, Realme, iQOO, and Krafton.

Just two days ago, Nazara raised INR 855 Cr ($101.3 Mn) from SBI Mutual Fund, Caratlane founder Mithun Sacheti, Aamara Capital, among others

This acquisition is the latest entrant to NODWIN’s list of acquisitions made in India and emerging markets worldwide. 

Previous acquisitions include Ninja Global FZCO, India’s Comic Con, the German esports and gaming marketing agency Freaks 4U Gaming, the West Asia and Turkey-focused marketing agency Publishme, the Singapore-based live events firm Branded, and the Turkish esports and gaming company Ninja Global. 

Not to mention, NODWIN  in June, cemented its position as Nazara Tech’s biggest revenue contributor in 6 years. NODWIN has experienced phenomenal growth and diversification since its acquisition by Nazara Technologies in 2018.

Founded in 2014 by Akshat Rathee and Gautam Virk, NODWIN Gaming is gradually emerging as a youth-centric recreational, entertainment company with esports being its primary focus area.

It is pertinent to note that the online gaming industry is still grappling with vague regulations as well as the aftermath of the Centre’s decision last year to hike the goods and services tax (GST) on online games and casinos from 18% to 28%. 

Shares of Nazara were trading 1.7% below at INR 1002.90 at 12 PM on the BSE.
