Microsoft To Re-Name Nokia Oyj To Microsoft Mobile Oy: Reports

While Microsoft’s acquisition of Nokia’s devices and services deal is going to close soon, ahead of this closure, according to a leaked letter, Nokia Oyj will be soon renamed as Microsoft Mobiles Oy.

According to a report by NokiaPowerUsers, which has accessed Nokia’s letter to its existing Devices and Services business suppliers base, after the deal is closed Microsoft Mobile Oy is will be the legal entity name for /Nokia Oyj and will be used for all sorts of VAT IDs and for the issuance of invoices.

Here are the extracts from the letter:

Under the terms of the sale, Microsoft will assume all rights, benefits and obligations of the Nokia Devices and Services business, including Nokia’s agreements with suppliers, customers and partners which pertain to the Devices and Services business. Therefore, the purpose of this letter is to update you that the current terms and conditions that you have with the Devices and Services business will not change.

Please note that upon the close of the transaction between Microsoft and Nokia, the name of Nokia Corporation/Nokia Oyj will change to Microsoft Mobile Oy. Microsoft Mobile Oy is the legal entity name that should be used for VAT IDs and for the issuance of invoices.

The letter also mentions that the current terms and conditions that the suppliers have with the Devices and Services business will not change post deal-closure.

Late year, Microsoft had announced its plans to acquire Nokia’s handset division and license some patents. During the acquisition, the company had said that the $ 7.2 Bn deal will close by the first quarter of this year. But last month, Microsoft announced that antitrust reviews of the acquisition in Asia and mentioned that the deal will close by April.

As a part of deal, Microsoft is buying Nokia’s mobile phones division, which only include the teams that make feature phones and not the other divisions that are responsible for network equipment business and Here maps. This also means that the Nokia Smart watchis expected to be launched and even all the future Nokia hardware will come from HERE division.

Also, though Microsoft has bought the license to use the Nokia brand name for 10 years as terms of deal but, the company left behind by Microsoft will also keep rights to name Nokia.

This move by Microsoft, makes us remember of something the then-Nokia CEO Stephen Elop had said “What we have to decide is what the brand will be.. Because we have not decided what brand will be dominant for smartphones, that’s work that’s still ahead. And of course the way we’ll go through that process is to assess with consumers what they respond most positively to, what conveys the best message and the best hopes of success.”

Well, that was probably an indirect way of telling “Nokia Brand will disappear.”

On September 3, 2013, Nokia Corporation announced its intention to sell substantially all of its Devices and Services Business to Microsoft Corporation. We anticipate the transaction to close during April 2014.

In addition to becoming a supplier for Microsoft Mobile Oy, we appreciate that you might also remain a supplier to the continuing businesses of Nokia (i.e., NSN, HERE or Advanced Technologies) after the close of the transaction between Microsoft and Nokia Devices and Services. Nokia will communicate separately any changes in invoicing methods and addresses before the close of this transaction.
